This is a senior Technology & IP Transactions Associate position with an Am Law 100 firm in New York. The team advises on technology licensing, SaaS, cloud and outsourcing agreements, and IP aspects of M&A and private equity deals.

Candidates should have a JD and 3–6 years of tech/IP transactional experience, with a strong drafting and negotiation background. Admission to the New York Bar (or eligibility for prompt admission) is required.

• JD required; 3–6 years of technology transactions and/or IP transactional experience at a leading law firm.
• Admission to the New York Bar (or eligibility for prompt admission).
• Strong drafting and negotiation skills, plus a commercially pragmatic approach.
• A technical background or familiarity with technology/life sciences sectors is a plus but not required.
• Excellent communication skills and the ability to manage several matters independently.

The group advises technology, life sciences and financial services companies, from venture-backed start-ups to public companies and investors, on high-value commercial transactions involving technology and intellectual property. It's a collaborative, partner-led team with a strong national reputation.

What you'll work on

• Technology licensing, SaaS, cloud and outsourcing agreements
• Strategic collaborations, development and supply arrangements
• The IP aspects of M&A, private equity and financing transactions, including diligence and deal documentation
• Data privacy, AI and emerging technology issues in commercial contracts
• Counselling clients on IP ownership, protection and commercialisation strategies

What you'll bring
