Qualifications

• J.D. with active bar membership in at least one U.S. jurisdiction.
• Approximately 5+ years handling securities, governance, or capital markets matters in law firm or public company environments.
• Strong understanding of public company compliance, disclosure obligations, and governance best practices.

Responsibilities

• Lead public company reporting and proxy materials, 10-K/10-Q/8-K, and related governance matters.
• Support investor communications and external disclosures.
• Advise on governance initiatives, board/committee materials, and policies.
• Counsel on corporate finance activities including capital markets and refinancings.
• Assist with equity compensation programs and executive compensation-related matters.
• Oversee intercompany agreements and corporate structuring across jurisdictions.
