Job summary

ABA Search, Inc. is seeking a Fund Formation Paralegal for a hybrid schedule with options in Chicago, Denver, Los Angeles or San Francisco. The role carries a salary of $80,000–$110,000 plus overtime, with strong benefits and PTA schedules.

Fund Formation Paralegal – Hybrid Chicago, Denver, Los Angeles or San Francisco | $80,000–$110,000 + Overtime Bring your fund formation experience to a leading international law firm where your work will have a direct impact on venture fund launches, investor onboarding, and ongoing client compliance. What You’ll Do

As part of the fund formation team, you’ll support attorneys and senior paralegals on emerging company and venture fund matters. You will:

• Prepare and maintain organizational documents, including partnership and limited liability company agreements
• Draft side letters, transfer agreements, admission agreements, and other amendments
• Conduct investor suitability due diligence
• Research federal and state securities regulations in connection with fund formations, and prepare and file required notices
• Conduct due diligence document review and assist with the preparation of opinions and supporting backup
• Handle SEC compliance reporting for venture fund clients related to their public company stock portfolios
• Delegate tasks to service departments as needed and submit timesheets and other administrative items on time

What You’ll Bring

• Bachelor's degree
• 1-3 years of fund formation experience
• Ability to bill a minimum of 1,600 hours annually
• Availability to work overtime, as required
• Working knowledge of Microsoft Office and the ability to learn iManage and other firm applications
• Excellent written communication and proofreading skills, with strong attention to detail
• Ability to prioritize work for multiple attorneys and paralegals under tight deadlines, working independently and as part of a team with initiative, diplomacy, and tact
• A paralegal certificate is a plus.
