Job summary

SourcePro Search, LLC seeks a Fund Formation Paralegal with a bachelor’s degree and 1–3 years of fund formation experience. The role requires billing at least 1,600 hours annually and overtime as needed, supporting a range of venture fund and securities matters.

The candidate will handle organizational documents, agreements, investor due diligence, and SEC/compliance duties, working closely with attorneys in a fast-paced environment.

Qualifications

• Bachelor’s degree is required.
• Billing at least 1600 hours annually.
• 1–3 years of Fund Formation experience.
• Available to work overtime as needed.
• Proficiency in Microsoft Office suite and iManage after orientation.

Responsibilities

• All facets of fund formation matters.
• Prepare organizational documents.
• Draft partnership and LLC agreements.
• Prepare side letters, transfer agreements, admission agreements and other amendments.
• Conduct investor due diligence.
• Research Federal and State securities regulations for fund formations.
• Prepare and file requisite notices.
• Conduct due diligence and prepare opinions and backup for fund formation.
• Handle SEC compliance reporting for venture fund clients.
• Turn in time sheets, e-timelogs and fulfill other administrative duties.
• All other duties as assigned or required.
