Qualifications

• 5+ years of paralegal experience, preferably in fund formation or venture matters.
• Bachelor’s Degree required; Paralegal Certificate preferred.
• Experience with venture funds and emerging companies is highly desirable.
• Excellent communication, proofreading, and organizational skills.
• Strong attention to detail and ability to prioritize multiple deadlines.
• Comfortable working independently and with a team; able to work under pressure.

Responsibilities

• Support venture fund and emerging company matters.
• Prepare and maintain corporate and organizational documents.
• Draft partnership and LLC agreements.
• Prepare side letters, transfer and admission agreements, and amendments.
• Conduct investor suitability and legal due diligence.
• Research federal and state securities regulations.
• Prepare and file required regulatory notices.
• Assist with fund formation opinions and supporting documentation.
• Support SEC compliance reporting.
• Maintain accurate time records and complete administrative responsibilities.
