Job summary

SourcePro Search, LLC is seeking a Fund Formation Paralegal in San Francisco, CA to support attorneys on emerging company and venture fund matters. This role requires 1–3 years of fund formation experience and a proactive, detail-oriented mindset.

You will prepare and maintain organizational documents, assist with partnership and LLC agreements, and help with due diligence and regulatory filings in a fast-paced team environment.

Qualifications

• 1–3 years of fund formation experience.
• Bachelor’s Degree required.
• Strong organizational and time-management skills.
• Excellent written, communication, and proofreading abilities.
• Paralegal Certificate preferred.

Responsibilities

• Support emerging company and venture fund matters.
• Prepare and maintain organizational documents.
• Assist with partnership and LLC agreements.
• Prepare side letters, transfer agreements, admission agreements, and amendments.
• Conduct investor suitability and document due diligence.
• Research federal and state securities regulations.
• Prepare and file required notices.
• Assist with fund formation opinions and supporting documentation.
• Support SEC compliance reporting.
• Complete timekeeping and other administrative responsibilities.
