Qualifications

• Minimum 5+ years of paralegal experience, ideally in fund formation
• Bachelor’s degree required; paralegal certificate preferred
• Strong written and verbal communication and organizational skills

Responsibilities

• Support all facets of emerging company and venture fund work
• Prepare and maintain organizational documents
• Prepare partnership and LLC agreements
• Draft side letters, transfer agreements, admission agreements, and amendments
• Conduct investor suitability and document due diligence
• Research federal and state securities regulations
• Prepare and file required notices
• Assist with fund formation opinions and supporting documentation
• Handle SEC compliance reporting for venture fund clients
• Manage administrative requirements and deadlines
