Job summary

SourcePro Search, LLC is seeking a Fund Formation Paralegal with a bachelor’s degree and 1–3 years of fund formation experience. The role requires billing at least 1,600 hours annually and being available for overtime as needed.

You’ll support emerging company and venture fund work, including document prep and regulatory research. The ideal candidate will have strong MS Office and iManage skills and the ability to work with multiple supervisors in a fast-paced environment.

Qualifications

• Bachelor’s Degree required.
• Bill a minimum of 1600 hours annually.
• 1–3 years of Fund Formation experience.
• Available to work overtime as required.
• Proficiency in Microsoft Office suite, iManage and other firm applications.

Responsibilities

• Handle all facets of emerging company and venture fund work.
• Prepare organizational documents and LLC/partnership agreements.
• Prepare side letters, transfer and admission agreements, and amendments.
• Conduct investor due diligence.
• Research securities regulations related to fund formations.
• Prepare and file requisite notices.
• Conduct due diligence and prepare opinions/backups for fund formation.
• Manage SEC compliance reporting for venture fund clients.
• Submit timesheets and complete administrative duties promptly.
• Perform other duties as assigned.

SourcePro Search is conducting a search for a Fund Formation Paralegal with a bachelor’s degree and 1–3 years of fund formation experience. The ideal candidate should be comfortable billing at least 1,600 hours annually and be available to work overtime as needed.

What You'll Do:

• All facets of emerging company and venture fund work including:
• Preparation and maintenance of organizational documents
• Preparation of partnership and limited liability company agreements
• Preparation of side letters, transfer agreements, admission agreements and other amendments
• Conducting investor suitability due diligence
• Research of Federal and State securities regulations in connection with fund formations
• Preparation and filing of requisite notices
• Conduct due diligence review of documents and with the preparation of opinions and backup in connection with fund formation
• Handle SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios
• Turn in time sheets, e-timelogs and fulfill other administrative duties in a timely fashion
• All other duties as assigned or required

What You'll Bring:

• Paralegal Certificate
• Ability to work independently and as part of a team in a fast-paced environment for multiple supervisors, meet deadlines and maintain flexibility with work assignments (including changes in attorney/paralegal assignments) and work schedules
• Ability to organize and prioritize work assignments as well as delegate tasks to service departments when necessary
• Possess excellent written, communication and proofreading skills with attention to detail
