Job summary

SourcePro Search, LLC is recruiting on behalf of a leading Los Angeles law firm for a Fund Formation Paralegal. The selected candidate will support attorneys and senior paralegals on venture fund and emerging company matters.

The role requires 1–3 years of fund formation experience, a Bachelor's degree, and preferably a Paralegal Certificate. Strong organizational skills and attention to detail are essential in a fast-paced setting.

Qualifications

• 1–3 years of fund formation experience.
• Bachelor's degree required; paralegal certificate preferred.

Responsibilities

• Assist with all facets of venture fund and emerging company work.
• Prepare and maintain organizational documents.
• Assist with partnership and LLC agreements.
• Prepare side letters and other fund-related agreements.
• Conduct investor suitability and document due diligence.
• Research applicable federal and state securities regulations.
• Prepare and file required notices.
• Assist with fund formation opinions and backup documentation.
• Support SEC compliance reporting.
• Maintain accurate time records and complete administrative tasks.
