SourcePro Search, LLC is seeking a Corporate Paralegal with 3–5 years of investment management or private/alternative funds experience. The role emphasizes entity formation, governance documents, regulatory filings, and lifecycle management, serving as a key operational contact on sophisticated matters.

You will assist attorneys with fund formation and closings, conduct due diligence, and maintain investor documentation while coordinating with filing vendors in a fast-paced environment.

Qualifications

• Associate’s or Bachelor’s degree preferred.
• Minimum of three years of paralegal experience in investment management, private/alternative funds, or corporate law.
• Experience supporting corporate matters for private investment funds or alternative asset managers is a plus.

Responsabilités

• Assist attorneys with formation, organization and structuring of private investment funds and related entities (LPs/LLCs, feeder funds, blockers).
• Manage fund closings by handling closing checklists and organizing documentation.
• Conduct due diligence and summarize organizational documents and records.
• Draft and maintain fund structure charts using Visio/PowerPoint.
• Track subscription and transfer agreements and investor documentation.
• Manage time entries in compliance with firm standards.
