Job Overview:
A prestigious law firm is seeking a Finance Associate Attorney with over four years of experience to join their team in San Francisco or other office locations. This role involves working on highly structured finance transactions, including securitization and capital markets transactions. The ideal candidate will have strong experience in commercial law, securities law, and bankruptcy-related matters. Location
Duties:
- Work on structured finance transactions, including securitization and other capital markets transactions.
- Draft complex commercial contracts such as pooling and servicing agreements, administration agreements, indentures, and trust agreements.
- Draft legal opinions, including bankruptcy-related opinions.
- Manage financial transactions by overseeing the work of junior associates, drafting and preparing transaction documents, and successfully closing transactions.
- Provide legal advice on commercial law matters, including the Uniform Commercial Code, securities law, and bankruptcy-related issues.
Requirements:
- 4+ years of experience in finance law, particularly in structured finance, securitization, and capital markets transactions.
- Significant knowledge of commercial law, including the Uniform Commercial Code, securities law, and bankruptcy issues.
- Experience drafting complex commercial contracts and legal opinions.
- Ability to manage financial transactions, lead junior associates, and close transactions successfully.
- Must be admitted to and a member in good standing with the state bar in which the candidate is located.

Education
- Juris Doctor (JD) from an ABA-accredited law school.
Certifications
- Admission to the state bar in the jurisdiction of the office location (must be in good standing).
