Job summary

Qualifications

• Minimum 3 years of experience as a Corporate Paralegal in a law firm or equivalent.
• Four-year college degree or equivalent.

Responsibilities

• Draft governing documents, including bylaws and operating agreements.
• Assist with purchase and sale transactions.
• Draft stock, membership, and partnership interest assignments.
• Retrieve, review, and organize due diligence documents.
• Coordinate annual and miscellaneous regulatory and tax filings.
• Prepare gifting documents for estate planning clients.
• Create deeds and related property transfer documents.
• Conduct legal research.
• Monitor Secretary of State revisions and communicate relevant changes to attorneys and paralegals.
