Qualifications

• 3+ years of corporate, transactional, business, finance, or commercial real estate paralegal experience.
• Experience supporting mergers and acquisitions, financing transactions, corporate formations, or business governance matters.
• Familiarity with due diligence processes, data room management, and transaction closings.
• Experience preparing corporate governance documents and compliance filings.
• Understanding of UCC filings, corporate records, and business entity maintenance.
• Strong organizational, project management, and communication skills.
• Proficiency in Microsoft Office applications.
• Bachelor’s degree, paralegal certificate, or equivalent experience preferred.

Responsibilities

• Draft and prepare corporate governance documents, resolutions, certificates, organizational documents, and related transaction materials.
• Coordinate due diligence efforts, including document collection, organization, and management of electronic data rooms.
• Prepare transaction checklists, closing binders, timetables, and status reports.
• Assist with transaction closings and post‑closing requirements.
• Maintain corporate records, minute books, ownership records, and related governance documentation.
• Prepare and file annual reports, compliance filings, and business registration documents.
• Conduct UCC, corporate, and public records searches.
• Prepare and file UCC financing statements and related documentation.
• Assist with licensing, registration, and corporate compliance matters.
• Support attorneys on a variety of business transactions while managing multiple active matters simultaneously.
