Qualifications

• Bachelor's degree required.
• California Paralegal Certificate required.
• Prior paralegal experience involving corporate transactions and business law matters.
• Strong legal research, analytical, and problem-solving skills.
• Proficiency in drafting, reviewing, and proofreading legal documents.
• Excellent organizational skills and attention to detail.
• Strong written and verbal communication skills.

Responsibilities

• Support attorneys with corporate transactions, including due diligence, document preparation, and closing activities.
• Draft, review, and revise contracts, agreements, corporate resolutions, and other transactional legal documents.
• Prepare and maintain corporate records, business entity filings, and organizational documents.
• Coordinate transaction timelines, track deadlines, and facilitate the collection, review, and execution of legal documents.
• Conduct legal research and analyze statutes, regulations, and other legal materials related to corporate and business law matters.
• Organize and manage due diligence materials, client records, and confidential transaction documentation.
• Communicate with attorneys, clients, and outside parties to coordinate information requests and support the completion of transactions.
• Provide additional legal research, document preparation, and administrative support on business and employment law matters as needed.
