The ideal candidate handles private company mergers, governance, contracts, LLC agreements, and advises middle‑market clients on general corporate matters, with knowledge of private equity and private securities offerings.

Responsibilities

• Counsel private companies on mergers & acquisitions, corporate governance, contracts, LLC/shareholder agreements, and general corporate matters.
• Advise middle‑market clients on corporate issues in collaboration with the Corporate Practice Group.
• Support and contribute to the growth of the team in a fast-paced, entrepreneurial setting.

• Extensive knowledge of private equity, sophisticated M&A transactions and private securities offerings.
