The ideal candidate will have a strong background in mergers and acquisitions, corporate transactions, commercial contracts, and business restructuring. This role offers substantial client interaction, autonomy, leadership opportunities, and ongoing business development training within a collaborative law firm environment.

Responsibilities

• Advise clients on mergers, acquisitions, divestitures, and other corporate transactions.
• Handle debt and equity offerings, restructurings, and related corporate matters.
• Advise on entity selection, formation, governance, and general corporate issues.
• Draft, review, and negotiate sophisticated commercial contracts and transactional documents.
• Lead teams on corporate projects and manage significant client matters independently.
• Develop and maintain strong client relationships through direct interaction and responsive legal counsel.
• Apply sound legal judgment to complex transactional matters and business decisions.
• Support business development initiatives and contribute to practice growth.
• Deliver exceptional client service while meeting deadlines and maintaining high-quality work product.

Qualifications

• 5+ years of corporate law experience preferred.
• Strong experience in M&A, transactional law, and commercial contracts.
• Knowledge of mergers, acquisitions, divestitures, debt and equity offerings, restructurings, and entity formation.
• Excellent drafting, negotiation, and analytical skills.
• Strong academic background.
