Job summary

Polsinelli PC seeks a Conflicts Counsel – Outside Counsel Guidelines to support conflicts, new business intake, and risk-management functions. The role reviews and negotiates client OCGs, engagement terms, and onboarding documents, advising on risk and policy considerations while coordinating with multiple firm departments.

The position offers a hybrid work arrangement and may be based in any office location; ideal candidates have 3+ years' relevant experience and a JD from an ABA-accredited

Qualifications

• Juris Doctor degree from an ABA-accredited law school.
• Active and in-good-standing membership in at least one U.S. state bar.
• Approximately 3+ years of relevant legal experience, preferably involving conflicts, professional responsibility, law firm risk management, new business intake, or review of outside counsel guidelines at a large or sophisticated law firm.
• Demonstrated experience reviewing and interpreting contractual terms and identifying legal, ethical and business risk.
• Working knowledge of ABA Model Rules of Professional Conduct and conflicts-of-interest principles.

Responsibilities

• Review, analyze, and negotiate client outside counsel guidelines, engagement letters, terms and conditions, and onboarding documents.
• Identify provisions that conflict with firm policies and advise on risk.
• Draft exceptions, modifications, and clarifications to align client requirements with policy risk.
• Partner with attorneys and client teams to negotiate OCGs and terms.
• Coordinate review and approval with General Counsel/Risk Management, Finance, Information Security, Technology, Records/Information Governance, Billing, Pricing, HR, and other departments.
• Monitor conflicts provisions and improve consistency and risk controls across the firm.
• Provide training and practical guidance on OCG and conflicts requirements.
• Review complex conflicts of interest arising from new clients, matters, or lateral hires.
• Develop conflict-resolution strategies, including waivers and ethical screens.
• Conduct legal and ethics research related to conflicts and client intake.
• Support Office of General Counsel and risk-management projects.
