Job summary

Polsinelli PC seeks a Conflicts Counsel – Outside Counsel Guidelines to support conflicts, new business intake, professional responsibility, and risk-management functions. The Counsel will review, interpret, negotiate, and implement client outside counsel guidelines and related terms, ensuring compliance and appropriate risk controls across engagements.

Hybrid position with potential base in any Polsinelli office location.

Qualifications

• Juris Doctor (J.D.) from ABA-accredited school.
• Active and in-good-standing U.S. state bar.
• Approximately 3+ years of relevant legal experience in conflicts, professional responsibility, or risk management at a large/sophisticated law firm.
• Experience reviewing and interpreting contractual terms and identifying risk; familiarity with OCGs and engagement terms.
• Knowledge of ABA Model Rules and conflicts-of-interest principles; ability to translate client requirements into guidance.
• Strong judgment, written/oral communication, attention to detail, and organizational skills.

Responsibilities

• Review, analyze, and negotiate client outside counsel guidelines, engagement letters, and related documents.
• Identify provisions conflicting with firm policies and advise on risk.
• Draft exceptions and clarifications to align client terms with firm policies.
• Coordinate with attorneys and client teams to negotiate OCGs and engagement terms.
• Maintain records of negotiated terms and support access for teams.
• Develop and maintain OCG protocols, playbooks, and approval matrices.
• Provide training on OCG requirements, conflicts, and risk-management issues.
