Job summary

Polsinelli PC in the United States seeks a Conflicts Counsel – Outside Counsel Guidelines to support conflicts, new business intake, and risk management. The role serves as a primary resource for reviewing and negotiating client OCGs, engagement terms, and related client requirements.

The Counsel will collaborate with firm attorneys and business teams to identify risks, draft exceptions, and ensure documents reflect approved terms.

Qualifications

• Law degree and bar admission required.
• 3+ years of relevant experience in conflicts, professional responsibility, or risk management in a law firm.
• Experience interpreting client outside counsel guidelines and engagement terms.
• Knowledge of ABA Model Rules of Professional Conduct.
• Ability to translate client requirements into practical guidance for attorneys and business professionals.
• Strong written and verbal communication; high judgment and discretion.

Responsibilities

• Review, analyze, and negotiate client outside counsel guidelines and related terms.
• Identify provisions conflicting with firm policies and advise on risk.
• Draft exceptions and clarifications to align client terms with firm risk.
• Collaborate with attorneys and business teams to negotiate OCG terms.
• Coordinate approvals with General Counsel, Risk Management, Finance, IT and others.
• Analyze conflicts provisions like waivers, exclusivity, staffing limits.
• Advise on ability to accept client-imposed terms and escalate risk.
• Maintain records of negotiated terms and ensure accessibility to teams.
• Develop and maintain OCG review protocols, playbooks, and policies.
• Monitor OCG provisions and improve consistency and risk controls.
• Provide training on OCG requirements and risk management.
• Review complex conflicts of interest arising from new clients or matters.
• Assist in developing conflict-resolution strategies and ethical screens.
• Conduct legal and ethics research on conflicts and client intake.
• Participate in special projects supporting OGC and risk-management.
