Job summary

Polsinelli PC is seeking a Conflicts Counsel – Outside Counsel Guidelines to support conflicts, new business intake, professional responsibility, and risk-management functions. The role will review and negotiate client OCGs and engagement terms, and advise across multiple firm departments.

The position offers a hybrid work arrangement and may be based in any location with an office. Requires 3+ years of relevant experience and a JD from an ABA-accredited school.

Qualifications

• Juris Doctor (J.D.) from an ABA-accredited law school.
• Active and in-good-standing membership in at least one U.S. state bar.
• Approximately 3+ years of relevant legal experience in conflicts, professional responsibility, risk management, or related areas at a large/sophisticated law firm.
• Experience reviewing and interpreting contractual terms; familiarity with OCGs and engagement terms preferred.
• Knowledge of ABA Model Rules and conflicts-of-interest principles for large law firms.
• Ability to translate client requirements into clear guidance for attorneys and business teams.
• Strong legal judgment, written and oral communication, attention to detail, and organization.
• Capacity to manage high-volume workload and escalate when needed.
• Ability to collaborate across legal, finance, technology, information-security, and admin functions.
• Discretion and ability to handle confidential information.

Responsibilities

• Review, analyze, and negotiate client outside counsel guidelines, engagement letters, and onboarding documents.
• Identify provisions conflicting with firm policies or commitments and advise on risk.
• Draft exceptions and modifications to align client requirements with firm policies and risk.
• Partner with attorneys and client teams to negotiate OCG exceptions and terms.
• Coordinate review and approval with General Counsel/Risk, Finance, Information Security, Technology, Records/Information Governance, Billing, HR, and others.
• Analyze conflicts-related provisions, including waivers, conflicts, and staffing limits.
• Advise on the firm’s ability to accept client-imposed terms and escalate risk as needed.
• Maintain clear records of negotiated terms and approvals; support accessibility for teams.
• Develop and maintain standardized OCG review protocols and playbooks.
• Monitor recurring OCG provisions and identify efficiency improvements.
• Provide training on OCG requirements, conflicts, and risk-management issues.
• Review complex conflicts of interest in new clients and matters; advise on strategy.
• Assist in conflict-resolution strategies, including waivers and ethical screens.
• Conduct legal/ethics research regarding conflicts, intake, and professional-responsibility issues.
