Textron Systems in Hunt Valley, MD is seeking an Assistant General Counsel to serve as the primary counsel for one or more business areas, advising program leaders on contracting, procurement, strategy, risk mitigation, and compliance. The role requires on-site presence at the MD office and frequent collaboration with the Executive Leadership Team.

Qualifications

• Law degree from an accredited nationally recognized law school (undergraduate business degree, MBA, and/or LLM Government Contracts a plus).
• Active member of a State bar in good standing.
• Minimum of five (5) years’ relevant U.S. Government contracting experience, preferably in-house with a reputable defense and aerospace company.
• Excellent contract drafting and negotiation skills and a solid understanding of contract principles, including substantive knowledge of the FAR/DFARS.

Responsibilities

• Work directly with business counterparts to identify legal risks and issues, such as those arising from solicitations, teaming agreements, licensing agreements, data rights, and FAR/DFARS compliance.
• Draft contract language, perform legal review of contract terms and conditions, and assist with legal issues involving a wide variety of domestic and international agreements and contracts of all types on significant business opportunities.
• Engage directly with subcontractor and customer legal counsel on legal matters of high complexity and dollar value and lead the negotiation of subcontracts and sales contracts.
• Advise internal functional organizations as to various compliance obligations such as FAR mandatory disclosures and other contract compliance obligations.
• Provide advice and training on the FAR, DFARS, UCC, and related laws and regulations affecting government and commercial contracting and compliance.
