Job summary

Lanturn seeks an experienced Corporate Secretary to join its team in Singapore. You will independently manage a portfolio of clients, ensure statutory obligations are met, and provide advisory support on corporate actions and governance matters.

Responsibilities include handling incorporations, changes in officers and shareholders, annual returns, regulatory filings, and maintenance of accurate corporate records. Strong communication and discretion are essential.

Qualifications

  • At least 5 years of relevant corporate secretarial experience, preferably in a professional services firm.
  • Strong knowledge of the Singapore Companies Act, ACRA requirements and corporate governance practices.
  • Strong technical corporate secretarial and client advisory skills.
  • Ability to independently manage a portfolio of clients and prioritise deadlines.
  • Good communication and interpersonal skills, including the ability to guide and support junior colleagues.
  • High level of discretion when handling sensitive and confidential information.
  • Strong organisational and time-management skills with the ability to manage multiple assignments.

Responsibilities

  • Demonstrate strong knowledge of the Singapore Companies Act, corporate governance and regulatory compliance.
  • Be willing to act as the named Company Secretary for clients within the assigned portfolio and support them in meeting their statutory obligations.
  • Independently manage an assigned portfolio of companies, ensuring high-quality work is completed accurately and within established timelines.
  • Liaise with and advise clients on annual statutory obligations and ad hoc matters, including changes to corporate structures and other statutory requirements.
  • Manage statutory filing deadlines and prepare/review Board minutes, notices, resolutions, ACRA BizFile filings and IRAS e-Stamping.
  • Handle incorporation, changes in officers and shareholders, share allotments and transfers, changes in share capital, registered office changes, annual returns and other corporate actions.
  • Maintain professional and effective relationships with clients and respond to corporate secretarial and compliance enquiries.
  • Perform Customer Due Diligence checks in accordance with the firm's policies and procedures and assist junior team members with more complex CDD matters.
  • Coordinate corporate secretarial aspects of client onboarding and ongoing compliance requirements.
  • Monitor recurring and ad hoc billing matters for the assigned client portfolio and follow up on outstanding items where required.
  • Maintain accurate, complete and timely corporate records and information within the firm's CRM and corporate secretarial systems.
  • Provide technical guidance, mentoring and on-the-job training to junior team members, without direct people-management responsibility.
  • Coordinate work orders and assignments relating to the assigned portfolio and work with other departments to ensure timely completion.
  • Assist with the administration of professional nominee directors and secretaries and related documentation.
  • Liaise with ACRA, IRAS, banks and other statutory bodies and third-party business partners as required.

  • Workflow Coordination: Coordinate work orders and assignments relating to the assigned portfolio and work with other departments to ensure timely completion.
  • Nominee Administration: Assist with the administration of professional nominee directors and secretaries and related documentation.
  • Stakeholder Liaison: Liaise with ACRA, IRAS, banks and other statutory bodies and third-party business partners as required.
