Job summary

Our Singapore corporate transactions team regularly advises clients on cross-border mergers and acquisitions and joint ventures, as well as capital markets transactions. This role is predominantly focused on the growing regional energy and infrastructure M&A practice, led by Kok Jin Ong.

About the role

The Corporate Transactions team in Singapore covers a wide range of transactions with a strong private equity focus. There is also a growing energy and infrastructure M&A practice, led by Kok Jin Ong, which this role is predominantly focused on.

Jin and the team are looking for an ambitious, driven and committed legal practitioner to join this growing practice. The work is likely to be fast-paced and intense and can sometimes involve long hours, but will also offer excellent opportunities to be involved with negotiations and client meetings / interactions. Expectations include:

• Managing complex transactions and client expectations, sometimes on tight timelines;
• Deal structuring across multiple jurisdictions;
• Drafting and reviewing legal documents and agreements, including sale and purchase agreements, shareholder agreements, joint venture agreements;
• Managing the full lifecycle of corporate transactions, including execution, due diligence, and post-closing matters;
• Leading due diligence teams, conducting due diligence and verification exercises (both buy-side and sell-side), both within the firm and externally (e.g. local counsel, other advisors);
• Liaising with other teams, particularly the projects team, on project financing and project development matters;
• Liaising and negotiating with clients and counterparties;
• Providing structured supervision and on-the-job training to junior team members; and
• Assisting with transaction management and completion processes.

About you

• At least 3 to 4 years of legal experience gained within one or more top-tier law firms;
• Qualified in Singapore, Australia, England & Wales or other common law jurisdiction;
• Strong experience in M&A transactions. No prior energy and infrastructure experience is required, but a genuine interest in the sector is necessary;
• Keen sense of curiosity and adaptability to turn your hands to novel transactions and issues;
• Excellent organisational skills, ideally with the ability to manage day to day communications and multiple workstreams on deals;
• Excellent technical and drafting skills;
• Excellent verbal and written communication skills;
• Ability to work autonomously and effectively manage multiple and often competing priorities and communicate when timelines are not workable;
• Keenness to contribute to team culture, build team morale and motivate team members;
• Ability to think laterally to develop innovative solutions to issues that arise during transactions; and
• A proactive, positive and energetic approach with a commitment to providing excellent client service and a desire to interact with the market and build client relationships.
