STC Group seeks an experienced Corporate Laws Counsel to provide legal support and strategic advice on mergers and acquisitions, investments, corporate restructuring and governance. The role emphasizes regulatory compliance, risk management, and review of transaction documents to support informed business decisions.

The ideal candidate has 6-8 years of experience in legal consultation, preferably in the telecom sector, and holds a Bachelor Degree in Business Administration or Law.

Responsabilidades

• Provide legal support and strategic advice on mergers, acquisitions, investments and governance matters.
• Ensure regulatory compliance and manage legal risks across corporate matters.
• Coordinate with CMA, MoC, GAC and other regulators on obligations and approvals.
• Draft, review and negotiate transaction documents and governance policies.
• Support establishment of new entities, succession of authorities, and amendments to constitutional documents.

Job Purpose

The role holder is responsible for providing legal support and strategic advice on mergers and acquisitions investments corporate restructuring and governance matters by ensuring regulatory compliance managing legal risks reviewing transaction documents and supporting informed business and investment decisions.

Strategic and Functional Responsibilities

• Contributes to the development and implementation of Corporate Laws strategies and initiatives in alignment with the company s objectives
• Provides specialized legal support and expertise in Corporate Laws matters
• Ensuring effective execution of assigned responsibilities
• Supports the implementation of changes and improvements within Corporate Laws processes
• Ensures compliance with organizational policies, procedures and quality standards within the scope of assigned responsibilities

Core Responsibilities

• Conducts legal studies and provides consultations related to Capital Market Authority CMA
• Advises on compliance with applicable CMA regulations including securities laws, stock market regulations and IPO requirements
• Ministry of Commerce MoC Provides legal support on corporate governance registration requirements licensing and trade practices
• General Authority for Competition GAC Advises on compliance with competition laws including merger control anti-competitive practices and market dominance
• Analyzes the impact of applicable regulations on the company s operations and provides relevant legal recommendations
• Provides legal support for establishing new subsidiaries SVs, liquidating existing entities and amending Articles of Association and Bylaws
• Prepares and coordinates the issuance of delegations of authority and Powers of Attorney PoAs
• Reviews and provides legal input on the company s strategic policies to ensure compliance with applicable laws and regulations
• Coordinates with local and international law firms on legal matters related to Company Law CMA regulations GAC and other relevant laws and regulations
• Reviews and follows up on amendments to the company s constitutional documents to ensure legal compliance
• Prepares and follows up on the submission of Extraordinary General Assembly resolutions through the Ministry of Commerce portal

People Management Responsibilities

• Provides guidance and technical support to junior team members where applicable
• Supports the achievement of team objectives through effective execution of assigned responsibilities and deliverables
