Joy~Nostalg Group in the Philippines seeks a Corporate Legal Counsel to serve as the company’s primary legal advisor. The role involves shaping policy, enforcing compliance, and mitigating legal risks across operations.

Qualifications

About the Role:

The Corporate Legal Counsel serves as the company’s primary legal advisor, providing comprehensive legal guidance across all aspects of the organization’s operations. This role is responsible for reviewing, developing, and enforcing corporate policies, ensuring regulatory compliance, mitigating legal risks, and managing legal proceedings and external counsel. The Legal Counsel will proactively address and resolve issues related to employment law, contracts, procurement, corporate governance, commercial transactions, and mergers and acquisitions. In addition, the position plays a critical role in shaping company policy on legal matters, anticipating legal and regulatory challenges, and implementing a robust internal control and compliance framework to protect the organization’s interests.

What you'll do:

1. Legal Advisory and Corporate Governance

• Provide practical legal advice and counsel across corporate matters.

• Review and develop company policies and legal positions.

• Anticipate legal risks and implement strategies to mitigate them.

• Offer counsel on potential or actual litigation and dispute prevention.

2. Compliance and Risk Management

• Identify compliance vulnerabilities and develop mitigation strategies.

• Establish and maintain effective internal control systems.

• Ensure adherence to federal, state, and local laws and regulations.

• Develop and oversee an integrated risk management and compliance training program.

3. Contracts, Procurement, and Transactions

• Advise on contract development, negotiation, and procurement issues.

• Support and manage commercial transactions and merger and acquisition activities.

4. Litigation and External Counsel Management

• Manage general litigation matters and oversee external legal counsel.

• Make recommendations regarding engagement of outside counsel and monitor performance and costs.

5. Legislative and Regulatory Monitoring

• Monitor and analyze legislative and regulatory developments.

• Advise senior leadership on potential impacts and opportunities.

What we're looking for:

• Bachelor’s degree in law preferably from a reputable university in the Philippines

• Must be in good standing with the Integrated Bar of the Philippines, with up-to-date MCLE compliance

• With 3-5 years of work experience in governance management and corporate law

• Ability to provide independent advice (oral and written) to senior-level management on highly technical matters

• Demonstrate success in managing and conducting a variety of litigation matters

• Strong leadership, analytical, planning and negotiation skills

• Excellent oral and verbal communication skills

• Proven ability to delicately solve sensitive matters.
