Job summary

Berde Renewables Inc. is seeking a Project Execution Manager to drive the contractual and delivery governance of critical project agreements from Ready-to-Build (RTB) through Commercial Operation Date (COD).

The role focuses on EPC, PPA, grid, land, and related contracts, ensuring alignment across teams and external partners. The manager will oversee obligations, risk mitigation, and timely notices, coordinating Legal, Commercial, Finance, and Project Management to preserve turnkey EPC risk

Responsibilities

• Full ownership of EPC, PPA, grid, land, and third-party agreements.
• Ensure contract consistency, manage interdependencies and risks.
• Serve as the single coordination point between EPC contractor, off-taker, grid operator.
• Lead contractual governance: notices, milestones, documentation, obligations register.
• Ensure delivery outcomes meet COD timelines and EPC/PPA criteria.

Project Execution Manager

Key Responsibilities

1. Full Project Contract Ownership

The Execution Manager is the contractual owner (on behalf of the company) of all project agreements, including but not limited to:EPC Contract (primary delivery contract)

• Power Purchase Agreement (PPA)
• Grid Connection Agreement
• Land lease / land purchase agreements (post-RTB obligations)
• Owner-furnished equipment agreements (if any)
• Interface agreements with authorities or third parties
• Transitional O&M handover (up to COD)

Accountability includes:

• Ensuring consistency across contracts
• Managing interdependencies and interface risks
• Ensuring no contract undermines EPC risk allocation
• Protecting the company from misaligned obligations

2. PPA & Revenue Protection Accountability

• Own execution-phase compliance with PPA obligations, including:
• COD deadlines
• Performance and availability commitments
• Testing and acceptance requirements
• Cure periods and notice provisions
• Act as the single coordination point between:
• EPC contractor
• Offtaker
• Grid operator
• Ensure EPC contract back-to-backs PPA obligations where commercially reasonable
• Manage schedule and performance risks that could trigger PPA penalties

3. Interface Risk Management Across Contracts

• Actively manage contractual interfaces,
• Identify gaps where:
• Risks are unallocated
• Obligations overlap or conflict
• Propose mitigation or contractual remedies via change, claims, or governance escalation

4. Contractual Governance & Compliance

• Ensure:
• Timely notices under all project contracts
• Compliance with conditions precedent and milestones
• Proper documentation for COD and final acceptance
• Maintain a contractual obligations register covering all project agreements
• Lead coordination with Legal and Commercial teams on claims, disputes, or amendments

5. Delivery Accountability

• Ensure delivery outcomes satisfy all contractual commitments,
• COD achieved within contractual deadlines
• Performance meets EPC and PPA criteria
• Documentation satisfies lenders, offtakers, and regulators

Objective:

The Execution Manager is the company’s single point of accountability for all project contracts and delivery outcomes from Ready-to-Build (RTB) to Commercial Operation Date (COD).This includes full ownership and active management of all project agreements (including EPC, PPA, grid, land, and third-party contracts) to ensure that commercial, schedule, performance, and interface obligations are met, while preserving full turnkey EPC risk transfer and avoiding employer design or construction liability.
