A paralegal with a preferably with a law degree or contract manager, qualified with at least 2 years’ experience working in an In House legal team for an MNC or large commercial team in private practice. The ideal candidate must be able to demonstrate experience of working on commercial contract and legal compliance matters
The candidate will have significant interaction with the Company’s sales personnel and must possess strong communication, interpersonal skills and a commitment to teamwork. Strong organizational skills, attention to detail and the ability to work independently in a high pressured environment to meet deadlines is essential. The role will be based in Philippines and report to the Associate General Counsel APAC
The role may require supporting colleagues across the department including compliance, providing global support for the Company’s company secretarial administration whilst coordinating with other lawyers
Direct assistance to theAssociate General Counsel and Legal Executivewill more specifically involve the following responsibilities:
Provide legal administration support to the Associate General Counsel and Legal Executive
Ability to work confidently with templates and provide support on run rate sales contracts
Provide ad hoc support for large contract negotiations
Providing analysis and contract summaries, legal research as requested
Providing timely and relevant information and responses to routine legal inquiries (such as basic contract and company information) and escape to theAssociate General Counselas appropriate
Review of initial request for legal assistance by the business
Reviewing basic contracts (such as NDAs, contract amendments/addendums and contracts for the supply of goods and services).
Responsible for ensuring business compliance with contract approval and signature policies
Provide assistance to the team with managing the global insurance program
Provide assistance to the team in managing the global trade marks program
Providing overflow company secretarial assistance when requested which will specifically involve
Assist with company secretarial matters such as management of company books, liaising with external counsel in relation to filing of annual returns, UBOs, KYC, changes to registered offices.
Drafting documents such as letters to companies house, board minutes, forms and/or e-filing form, appointment and resignation letters of directors and company secretaries.
Proof reading and amending corporate documents.
In the role you will be managed by the Associate General Counsel but will be expected to work independently. Training and mentoring necessary for the retention of legal accreditations will be provided as appropriate and legal training specific to the role may be provide as required. Occasional travel may be required but is not envisaged to be a regular requirement.
