Job description

We are seeking a highly skilled and motivated Corporate Paralegal to join our legal team. As a Corporate Paralegal, you will play a vital role in assisting our corporate attorneys with various legal matters related to our organization. You will be working under HR Team and will act as a Disciplinary Action Committee Member. You will also support the legal team in drafting legal documents, conducting research, and ensuring compliance with corporate regulations. This position requires a strong understanding of corporate law and excellent organizational skills.

Responsibilities:
  • Legal Document Preparation: Assist attorneys in drafting, reviewing, and editing legal documents such as contracts, agreements, and corporate policies. Ensure the accuracy and completeness of all documentation.
  • Legal Research: Conduct comprehensive legal research and analysis on various topics, including corporate laws, regulations, and case precedents. Summarize findings and provide recommendations to the legal team.
  • Corporate Governance: Support the legal team in maintaining corporate governance standards, including preparing and maintaining corporate records, minutes, and resolutions for board meetings and shareholder meetings.
  • Compliance Support: Collaborate with the legal team to ensure compliance with applicable laws, regulations, and corporate policies. Assist in the implementation and maintenance of compliance programs and initiatives.
  • Due Diligence: Conduct due diligence investigations for corporate transactions, including mergers, acquisitions, and partnerships. Assist in the review and analysis of due diligence findings.
  • Contract Management: Maintain an organized contract management system, including tracking contracts, monitoring expiration dates, and assisting in contract negotiations.
  • Communication and Collaboration: Coordinate and communicate with internal stakeholders, external counsel, and regulatory authorities as necessary. Collaborate with cross-functional teams to ensure legal requirements are met.
  • Administrative Support: Provide administrative support to the HR Team for administrative cases/hearings and legal team, including managing calendars, scheduling meetings, preparing expense reports, and organizing legal documentation.
Requirements:
  • Bachelor's degree in Paralegal Studies, Legal Studies, or a related field. Additional certifications or advanced law degrees are a plus.
  • Minimum of 1 year of experience working as a corporate paralegal in a law firm or in-house legal department.
  • Strong understanding of corporate law principles, regulations, and best practices. Familiarity with corporate governance, contracts, compliance, and due diligence processes
  • Excellent organizational skills with the ability to manage multiple tasks, prioritize assignments, and meet deadlines in a fast-paced environment.
  • Attention to Detail, Meticulous attention to detail to ensure accuracy in legal documentation and compliance-related tasks.
  • Effective written and verbal communication skills to interact with internal and external stakeholders. Ability to convey legal concepts clearly and concisely.
  • Proficient in using legal software, document management systems, and Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Strong ethical standards and the ability to handle confidential information with utmost discretion.
  • Ability to work collaboratively in a team environment, demonstrating a positive attitude and willingness to support others.
  • Willing to do field work
