Genfinity is seeking an experienced a Senior Legal Counsel to lead a wide range of legal matters in the Philippines. You will draft and negotiate contracts, guide regulatory compliance, and oversee litigation with external counsel as needed.

The role requires bar admission in good standing and at least five years of progressive investigations and governance experience, with strong negotiation and stakeholder management skills.

Qualifications

  • Must be admitted to the Philippine Bar and IBP in good standing.
  • Minimum of five years of progressive experience in workplace, regulatory, and corporate investigations.
  • Experience in conducting and supporting regulatory, compliance, and government investigations.
  • Ability to prepare, review, and present investigation findings and legal opinions.

Responsibilities

  • Draft, review, negotiate, and manage a wide range of legal agreements (vendor, employment, service, NDAs, partnerships).
  • Ensure compliance with laws, regulations, and governance requirements; provide regulatory guidance.
  • Oversee litigation, disputes, and legal proceedings; coordinate with external counsel as needed.
  • Serve as trusted advisor to executive management on governance, risk, compliance, and legal implications.

Job description

Duties and Responsibilities
  • Draft, review, negotiate, and manage a wide range of legal agreements, including vendor contracts, employment agreements, service contracts, non-disclosure agreements (NDAs), and strategic partnership arrangements.
  • Ensure the company's compliance with all applicable laws, regulations, and corporate governance requirements, and provide legal guidance on regulatory matters affecting business operations.
  • Manage and oversee all litigation, disputes, claims, and legal proceedings involving the company, including coordinating with external counsel, gathering and reviewing evidence, developing legal strategies, and representing the company's interests before courts, government agencies, and other tribunals, as appropriate.
  • Serve as a trusted legal advisor to executive management by providing guidance on corporate governance, risk management, compliance obligations, and legal implications of business decisions.
  • Support the development, implementation, and continuous improvement of company policies, procedures, and compliance programs to mitigate legal and operational risks.
  • Liaise with regulatory bodies, government agencies, external counsel, clients, and business partners on legal and compliance-related matters.
  • Monitor legal and regulatory developments and recommend appropriate actions to ensure the organization remains compliant and protected from potential legal risks.
  • Perform other duties and responsibilities that may be assigned from time to time by management.

Qualifications:

  • Bachelor's Degree in Law (Juris Doctor) is required; a background in Political Science or other related disciplines is an advantage.
  • Must be admitted to the Philippine Bar and a member of the Integrated Bar of the Philippines (IBP) in good standing.
  • Minimum of five (5) years of progressive experience in conducting and leading complex workplace, regulatory, and corporate investigations.
  • Demonstrated experience in:
    • Conducting investigations involving violations of the Code of Business Ethics and corporate policies.
    • Managing and supporting regulatory, compliance, and government-led investigations.
    • Preparing, reviewing, and presenting investigation findings, legal opinions, and comprehensive legal reports.
    • Handling, supervising, or supporting litigation matters, including employment and labor-related disputes.
  • Strong knowledge of Philippine labor laws, corporate governance, compliance, risk management, and legal regulatory frameworks.
  • Excellent legal research, analytical, negotiation, and stakeholder management skills.
  • Proven ability to work collaboratively with senior leadership, external counsel, regulatory agencies, and cross-functional business teams.
