Job summary

Zohorecruit is seeking a Chief Corporate Officer (CCO) to lead corporate development, M&A, and governance across Malaysia, Singapore, and Australia. You will drive capital raising, investor relations, and strategic transactions while partnering with the Group CEO and Board.

The role requires senior leadership experience in regulated industries, expert due diligence, and a strong governance mindset to ensure regulatory compliance and execution discipline across geographies.

Qualifications

• Senior leadership experience in corporate development, M&A, investments, legal, or corporate strategy.
• Hands-on experience leading M&A transactions, due diligence and deal execution.
• Understanding of governance, board processes, and regulatory environments in Malaysia and Singapore.
• Healthcare or regulated industries background is an advantage.

Responsibilities

• Lead M&A and investment activities across Malaysia and Singapore, with oversight for Australia.
• Coordinate with vendors, shareholders, country leaders, and advisors to originate and execute transactions.
• Oversee valuation, deal structuring, financial forecasts, and negotiations for acquisitions and investments.
• Coordinate due diligence across finance, legal, HR, operations, IT, and governance with internal and external teams.
• Prepare and review transaction documentation including share sale agreements and governance papers.
• Oversee IC processes, prepare IC papers and board-level approvals.
• Approve funds drawdown and deployment following IC and board approvals.
• Monitor post-acquisition performance and drive improvement with country finance leads.]
• Review financial models for investments and new markets, including regulatory approvals and entity setup.
• Support capital raising, shareholder investments, and divestments when transactions are confirmed.
• Manage data room preparation for investors, banks, regulators, and maintain information memoranda.
