Job summary

TNG Digital Sdn Bhd in Malaysia seeks a qualified Company Secretary to lead governance and regulatory compliance for a fast-growing fintech group. You will advise the board, manage statutory filings, and coordinate board meetings, AGM, and regulatory disclosures, ensuring alignment with MAICSA/MACS standards.

Qualifications

• Qualified Company Secretary with MAICSA/MACS or equivalent.
• 5–8 years experience as a Company Secretary in fintech/regulated environment.
• LL.B. is an added advantage.
• Experience managing corporate governance, statutory filings, and compliance in a fast-paced, high-growth organization.
• Familiarity with digital financial products and the regulatory framework governing them.
• Exposure to handling board meetings, shareholder resolutions, and corporate governance frameworks.

Responsibilities

• Ensure statutory and regulatory compliance for corporate governance (e.g., Companies Act, SSM, BNM, SC).
• Advise the board on duties, directors’ responsibilities, and legal obligations.
• Manage governance programs and support internal audits to ensure adherence to regulations.
• Develop and implement corporate governance policies aligned with fintech industry standards.
• Org assemble, prepare, and manage board and shareholder meetings, notices, agendas, resolutions, minutes, and reports.
• Maintain statutory registers, records, and filings in line with local regulations.
• Support regulatory filings and disclosures with authorities (SSM, BNM, SC).
• Advise senior leadership and the board on legal and governance matters including M&A and capital actions.
