Fondazione Chips-IT seeks a Senior Legal Specialist – Intellectual Property & Industrial Property to act as the legal backbone of research collaborations, technology transfer and intellectual property portfolio. The core of the role is transactional, drafting and negotiating agreements with industry, universities, start-ups and consortia.

The successful candidate will own IP terms across agreements, coordinate with the Technology Transfer function, and support the management of the IP portfolio,

Competenze

• At least 7 years of experience in intellectual property and technology contracts.
• Experience leading negotiations autonomously in Italian and English.
• Solid command of Italian Industrial Property Code and European patent system.
• Fluent in Italian and English (CEFR C1).

Mansioni

• Draft, review and negotiate NDAs, MTAs, collaborative and contract research agreements, joint development agreements, framework partnerships, consortium agreements, and service/infrastructure-access agreements.
• Own IP terms of every agreement: ownership, background/foreground allocation, access rights, enhancements, confidentiality, publication and exploitation rights.
• Support structuring and negotiation of technology transfer transactions: licence, option agreements, assignments, term sheets and royalty structures.
• Provide legal architecture for spin-off and start-up creation: IP assignments, founder agreements, equity and conflict-of-interest management.
• Manage IP portfolio: liaise with patent firms, invention disclosures, filing decisions, prosecution, deadlines and budget.
• Carry out freedom-to-operate, patentability and prior-art analyses and translate into actionable guidance.
• Handle legal aspects of third-party tech used and produced: EDA tool licences, confidentiality arrangements, open-source compliance.
• Design and maintain internal IP framework: regulation, disclosure procedure, inventor reward, templates and clause libraries.
• Deliver training and advisory support to researchers and staff on IP, confidentiality and contracts.
