We are seeking a full-time M&A Corporate & Securities Attorney to oversee securities filings, corporate governance, and transactional compliance. The role involves drafting and reviewing merger agreements and related disclosures, ensuring SEC compliance, and guiding governance documentation.

Key responsibilities include due diligence for transactions, liaising with external counsel, and supporting multi-billion-dollar deals with precision and deadline management in a high-pressure environment.

Key Responsibilities

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Ensure compliance with SEC regulations, including SEC filings such as Forms S-1, S-3, 8‑K, and 10‑K.
• Advise on corporate governance matters, including board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Liaise with external counsel, investment banks, and regulatory bodies as needed.

Required Skills & Qualifications
