VISTRA in Mumbai seeks an experienced Company Secretarial professional to support UK entities from the Mumbai Global Delivery Hub. You will work with the UK team to deliver governance services and ensure compliance across portfolios.

As a senior member, you will supervise junior colleagues, build processes, manage CDD/compliance, and contribute to training, client communications, and billing. The role may expand to local leadership as the Mumbai team grows.

Qualifications

Responsibilities

  • Support development of company secretarial capability within the Mumbai Global Delivery Hub.
  • Build effective relationships with UK stakeholders and act as liaison between UK and Mumbai teams.

  • Deliver high-quality secretarial services to UK entities with minimal supervision.
  • Prepare resolutions, minutes and company secretarial documentation as required.
  • Ensure AML/CDD compliance and timely client communications and cost updates.

Associate Director, Company Secretarial (based in the UK)

Purpose of Role

To provide high-quality company secretarial support to a portfolio of UK entities as part of the UK Company Secretarial team, ensuring compliance, accuracy and strong client service. The role will work closely with UK colleagues to build UK company secretarial capability within the Mumbai Global Delivery Hub. As the Mumbai team grows, the role may expand to include local leadership responsibilities.

Scope

This role sits within the UK Company Secretarial team and is based in the Mumbai Global Delivery Hub. It will operate as an integrated extension of the UK team, supporting service delivery, knowledge sharing and capability building.

Key Responsibilities
  • Support the development of company secretarial capability within the Mumbai Global Delivery Hub, sharing technical knowledge, establishing best practices and contributing to training initiatives.
  • Build effective working relationships with UK-based stakeholders and act as a key liaison between the UK and Mumbai teams.
  • As the local team expands, assume responsibility for the day-to-day supervision, coaching, performance management and development of Mumbai-based team members.
  • Deliver high-quality company secretarial compliance services to a portfolio of UK entities, operating with minimal supervision.
  • Prepare accurate company secretarial documentation (e.g., resolutions, minutes) per the requirements of the Companies Act 2006, statutory obligations and governance requirements, and provide insightful, clear, value-added responses to client queries.
  • Ensure client requirements are clearly understood and addressed appropriately and proactively, maintaining regular communication on progress and associated costs.
  • Build strong client relationships, identifying opportunities to enhance service delivery and support long-term client retention.
  • Ensure client files comply with current anti-money laundering regulations and follow up to obtain required customer due diligence (CDD) documentation within reasonable timeframes.
  • Maintain systems to monitor and manage CDD activity, and report any concerns regarding potential money laundering to the compliance team.
  • Supervise junior colleagues, providing them with clear guidance and direction via clear communication, and reviewing their work, including draft client communications and documentation.
  • Resolve conflicts constructively and foster positive team culture. Act as the primary escalation point for queries raised by junior team members, offering timely and constructive support.
  • Collaborate with colleagues to ensure the Company Secretarial team operates efficiently and effectively across all workstreams.
  • Maintain a thorough understanding of departmental systems and procedures, proactively identifying opportunities for improvement and efficiency.
  • Acquire a strong understanding of revenue streams, fee structures, and project economics. Oversee timely and accurate billing for all client engagements, ensuring alignment with agreed terms.
  • Leverage technical expertise to identify and promote commercial opportunities, keeping clients informed of relevant legislative changes and new services.
  • Contribute to business development initiatives, including marketing, promotional activities, and sales support, as appropriate.
Attributes/Technical Skills
  • Proven experience in managing company secretarial transactions, including statutory filings and notification requirements.
  • Be an advanced user of company secretarial software / entity management systems (preferably VPoint).
  • Strong understanding of corporate governance and company secretarial practice, with knowledge of the UK Companies Act 2006 being advantageous. Demonstrated ability to learn and apply new legislative frameworks and regulatory requirements.
  • Exceptionally well-organised, with the ability to manage multiple priorities and deadlines effectively.
  • Proactive, self‑motivated, and able to take ownership of tasks with minimal supervision.
  • Personable and collaborative team player, with a confident, professional, and commercially aware approach.
  • Excellent written and verbal communication skills in English, with the ability to convey complex information clearly and concisely.
  • Meticulous attention to detail, ensuring accuracy and consistency across all work.
  • Resilient under pressure, with the ability to maintain high standards in a fast‑paced environment.
  • Strong digital literacy, with advanced proficiency in Microsoft Word, Excel, and Teams.
  • A minimum of ten years' experience within company secretarial, corporate governance or corporate services environments, with a strong track record of delivering high‑quality services across a diverse portfolio.
  • Exposure to UK company secretarial work, UK entities or Companies Act 2006 requirements.
  • Experience working within a global delivery, shared services or multinational corporate services environment.
  • Previous experience in a management or team leadership role, with proven ability to supervise, mentor, and develop junior colleagues.
Education and Professional Qualification
  • Educated to degree level.
  • ICSI qualification or equivalent corporate governance/company secretarial professional qualification.
