Job Description

We are seeking an experienced Assistant Manager / Manager Legal to manage and support the organization's commercial contracting, technology transactions, legal risk management and contract lifecycle management activities.

The role will involve drafting, reviewing, negotiating and managing a broad range of IT related agreements, including Master Services Agreements (MSA), Statements of Work (SOW), SaaS Agreements, End User License Agreements (EULA), Software License Agreements, Non-Disclosure Agreements (NDA), Data Processing Agreements (DPA), Vendor Agreements, Professional Services Agreements, Procurement Agreements.

The candidate will work closely with Business, Sales, Finance, Internal IT Team, HR, and senior leadership teams, as well as external customers, vendors and legal counsel.

The role requires strong commercial acumen, contract negotiation skills, understanding of IT transactions and the ability to identify and mitigate contractual and legal risks while enabling business objectives.

Role & responsibilities

• Draft, review, analyze and negotiate IT and commercial contracts.
• Manage the end-to-end contract lifecycle, including contract intake, drafting, negotiation, execution, amendments, renewals and termination.
• Handle MSA, SOW, SaaS, EULA, Software Licensing, NDA, SLA, Vendor, Supplier, Professional Services and Procurement Agreements.
• Review third-party contracts and perform first-pass redlines, clause comparisons, deviation logging and playbook-based reviews.
• Review of Requests for Proposal (RFPs), Requests for Quotation (RFQs), and other bid documents.
• Manage CLM systems, contract repositories, deviation registers, obligation trackers and renewal trackers.
• Ensure contracts comply with applicable laws, regulations, data privacy requirements and internal policies.
• Monitor legal and regulatory developments impacting IT services, SaaS, technology transactions and commercial contracting.
• Support management of contractual disputes, legal notices, arbitration and litigation, in coordination with external counsel.
• Liaise with external legal counsel on complex contractual, regulatory, intellectual property and dispute-related matters.
• Coordinate trademark filings, registrations and related matters with external counsel.
• Provide practical legal advice to business stakeholders and support contract negotiations and risk mitigation.
• Conduct contract-management training and support continuous improvement of contracting processes, templates and playbooks.

Qualifications & Experience

• LL.B. mandatory; LL.M. preferred.

• Strong knowledge of MSA, SOW, SaaS, EULA, NDA, SLA, Software Licensing.
• Experience with CLM platforms such as DocuSign or similar tools preferred.
