Job summary

Audax Financial Technology (india) is seeking a commercially‑minded Legal Counsel to support procurement contracts and governance in India. The role reports to the Lead, Legal and is hands‑on, tackling day‑to‑day legal advice across procurement and commercial contracts.

The role also supports corporate governance and company secretarial matters, escalating higher‑risk issues as needed while aligning with company policies and regulatory requirements.

Qualifications

• Qualified lawyer with post-qualification experience in commercial law.
• Experience supporting procurement, sourcing or vendor-management in fintech or financial services.
• Ability to manage competing priorities and day-to-day advisory duties.
• Working knowledge of corporate governance and company secretarial support.
• Familiarity with financial services outsourcing rules and guidance (desirable).

Responsibilities

• Draft, review, and negotiate NDAs, MSAs, SOWs, and IT supply agreements.
• Provide practical risk-based legal advice aligning with business objectives.
• Support governance activities including board meeting papers and resolutions.
• Assist company secretarial filings and HQ reporting per governance policies.
• Coordinate with procurement, finance, and other teams on contract solutions.
• Monitor regulatory developments in commercial law and governance.

Summary

Audax is hiring a commercially-minded Legal Counsel to support commercial contracting and governance activities for the business, based in India and reporting to the Lead, Legal. This is a hands‑on role and will primarily support the procurement function, providing day‑to‑day legal advice on a broad range of procurement and commercial contracts, and supporting corporate governance and company secretarial matters. The role operates within established legal frameworks and escalates higher‑risk or non‑standard matters to the Lead, Legal.

Responsibilities

• Draft, review, and negotiate a broad range of agreements including NDAs, MSAs, SOWs, and IT supply agreements.
• Pragmatic and able to exercise sound commercial judgement and provides practical risk based solutions that enables the business objectives while appropriately managing legal and regulatory risks within approved frameworks.
• Support governance activities, including preparing agendas, papers, minutes, and resolutions for board and general meetings.
• Support company secretarial obligations, including statutory filings, HQ reporting requirements, and adherence to corporate governance policies.
• Negotiate standard and bespoke agreements in adherence to the companys policies, procedures and regulatory requirement
• Sound stakeholder management skills, with experience supporting procurement, finance, and teams to align contractual solutions with operational needs.
• Track relevant regulatory and industry developments in commercial law and governance, flagging changes to the wider legal team.

Requirements

• Qualified lawyer with 57 years' post-qualification experience, ideally including in-house exposure to commercial law.
• Experience supporting procurement, sourcing or vendor-management in a high growth technology, fintech, or financial services organization, ideally across multiple jurisdictions
• Able to manage competing priorities, balancing strategic initiatives with day‑to‑day advisory responsibilities
• Working knowledge of corporate governance and company secretarial support activities.
• Familiarity with financial services outsourcing rules and guidance (desirable).
• Strong knowledge of intellectual property, outsourcing, offshoring, software licensing, privacy and related regulatory and risk environments
• Ability to apply standard legal positions, templates, and fallback language across a range of agreement types.
• A self‑starter with the ability to independently identify issues, analyse issues and provide solutions which support the business objectives
• Contract negotiation skills, balancing business needs with legal risk protection.
• Clear legal drafting skills for moderately complex commercial agreements.
• Stakeholder communication skills to advise non‑legal business teams on contract and compliance matters.
