Job summary

Crystal Peak is seeking an experienced Contract Specialist to draft, review and negotiate commercial and technology contracts in a SaaS/technology environment. You will collaborate with Sales, Business, Finance, Procurement and Information Security to ensure lawful, risk-aware contracts that support business goals.

The role requires 8–12 years of experience in contracts, a strong legal background and hands-on drafting and negotiation skills across MSAs, SOWs and NDAs, with attention to detail

Qualifications

• LLB/LLM or equivalent legal qualification from a recognized institution.
• 8–12 years of relevant experience in contracts/legal roles, preferably SaaS/ technology.
• Hands-on experience in drafting, review, vetting and negotiation of contracts.

Responsibilities

• Review, draft and negotiate commercial and technology contracts.
• Handle SaaS agreements, MSAs, SOWs, NDAs, vendor and licensing agreements.
• Review terms related to pricing, payment, liability, IP, data protection and service levels.
• Identify risks and provide practical business-oriented recommendations.
• Support contract negotiations with customers, partners and vendors.
• Draft clauses, amendments and other legal docs as required.
• Manage contract review process from request to execution with timely turnaround.
• Collaborate with Sales, Finance, Procurement, Information Security, Privacy, Compliance and Business teams.
• Develop and maintain contract templates, playbooks and standard clauses.
• Track obligations, renewals and key milestones; stay updated on contracting developments.

Job description

We are looking for an experienced Contract Specialist with a strong legal background and hands-on experience in reviewing, vetting, drafting, and negotiating commercial contracts within a SaaS / technology environment.

The role will work closely with Sales, Business, Finance, Procurement, Information Security, and other internal stakeholders to ensure contracts are commercially sound, legally compliant, and aligned with the organization's risk appetite.

Key Responsibilities

• Review, vet, draft, and negotiate a wide range of commercial and technology contracts.
• Handle SaaS agreements, Master Services Agreements (MSAs), Statements of Work (SOWs), Order Forms, NDAs, vendor agreements, licensing agreements, and other commercial contracts.
• Review contractual terms relating to pricing, payment, liability, indemnification, warranties, confidentiality, intellectual property, data protection, termination, service levels, and dispute resolution.
• Identify contractual risks and provide practical, business-oriented recommendations to stakeholders.
• Work with Sales and Business teams to support contract negotiations with customers, partners, and vendors.
• Ensure appropriate legal and commercial protections are incorporated into agreements while enabling business objectives.
• Draft contract clauses, amendments, addendums, and other legal documentation as required.
• Manage the contract review process from initial request through execution, ensuring timely turnaround.
• Collaborate with internal stakeholders including Sales, Finance, Procurement, Information Security, Privacy, Compliance, and Business teams.
• Support development and maintenance of contract templates, playbooks, standard clauses, and contracting guidelines.
• Track contractual obligations, renewals, amendments, and key milestones.
• Stay updated on relevant legal, regulatory, data privacy, and technology contracting developments.
• Support continuous improvement and standardization of the organization's contracting processes.

What We Are Looking For

• LLB / LLM or equivalent legal qualification from a recognized institution.
• 8–12 years of relevant experience in contracts/legal roles, preferably within a SaaS, software, IT services, or technology organization.
• Strong hands-on experience in contract drafting, review, vetting, and negotiation.
• Good understanding of SaaS and technology contracts and associated commercial/legal risks.
• Experience working with enterprise customers and international contracts would be an advantage.
• Strong understanding of commercial contracting principles, including indemnity, limitation of liability, IP, confidentiality, warranties, termination, data protection, and service levels.
• Ability to understand complex business requirements and translate them into clear contractual language.
• Strong attention to detail with the ability to identify potential legal and commercial risks.
• Excellent written and verbal communication skills.
• Strong stakeholder management and negotiation skills.
• Ability to work independently, manage multiple contracts simultaneously, and operate in a fast-paced business environment.

Preferred Experience

• Experience supporting B2B SaaS / enterprise software businesses.
• Exposure to contracts with customers across US, UK, Europe, APAC, or other international markets.
• Familiarity with data privacy and security provisions commonly found in SaaS agreements.
• Experience working with contract lifecycle management (CLM) tools would be an advantage.
