Job summary

Ardonagh Europe is seeking an Assistant Company Secretary to join its Governance team. This is an excellent opportunity to work closely with senior stakeholders, Board members and Non-Executive Directors while supporting the governance framework of a complex European group.

Reporting to the Europe Company Secretary, you will play a key role in delivering high-quality company secretarial and governance support across the Ardonagh Europe group.

Qualifications

• Previous experience providing company secretarial support to Boards and Committees.
• Strong organisational, meeting management and minute-taking skills.
• Solid understanding of UK and Irish company law and governance principles.
• Experience working within a fast-paced, regulated environment.
• Excellent communication and stakeholder management skills.
• ICSA qualification (or equivalent) and degree-level education.
• Approximately five years' experience within a Company Secretarial function.

Responsibilities

• Support delivery of company secretarial services across a portfolio of European entities.
• Assist with statutory and regulatory compliance, including company filings and governance records.
• Coordinate Board, Committee and General Meetings, including agendas, board packs and meeting logistics.
• Draft accurate and timely minutes and tracking follow-up actions.
• Manage governance data through Diligent Entities and Diligent Board Books.
• Maintain governance frameworks, delegated authorities and terms of reference.
• Support KYC requests and wider governance projects.
• Assist with the administration and maintenance of the European branch network.
• Collaborate with colleagues and stakeholders across multiple European locations.

Ardonagh Europe is seeking an Assistant Company Secretary to join its growing Governance team. This is an excellent opportunity to work closely with senior stakeholders, Board members and Non-Executive Directors while supporting the governance framework of a complex European group.

The Opportunity

Reporting to the Europe Company Secretary, you will play a key role in delivering high-quality company secretarial and governance support across the Ardonagh Europe group. You'll help ensure statutory and regulatory compliance, coordinate Board and Committee activities, and contribute to maintaining robust governance standards across multiple jurisdictions.

What You'll Be Doing

• Supporting the delivery of company secretarial services across a portfolio of European entities.

What We're Looking For

• Experience working within a fast-paced, regulated environment
• Excellent communication and stakeholder management skills
• High levels of accuracy, discretion and attention to detail
• Experience using Diligent Entities (preferred)
• ICSA qualification (or equivalent) and degree-level education
• Approximately five years' experience within a Company Secretarial function
