Job summary

InX is seeking a Manager or Senior Manager to lead SPA advisory engagements for corporates, private equity and management teams across the M&A lifecycle. You will guide financial and commercial aspects of SPA provisions and help clients navigate critical deal decisions.

You will manage multiple workstreams, advise on completion accounts, locked box, earn-out mechanisms, and collaborate with Transaction Services, Tax and other teams to deliver integrated solutions, while coaching junior

Qualifications

• Experience within SPA Advisory, Transaction Services, Deal Advisory, Corporate Finance, or a related M&A environment.
• ACA or equivalent professional qualification.
• Strong analytical, commercial, and problem-solving skills.

Responsibilities

• Lead SPA-related workstreams across buy-side and sell-side transactions.
• Advise clients on transaction pricing mechanisms, including completion accounts, locked box structures, and earn-out arrangements.
• Review and analyse Sale & Purchase Agreements to identify key financial risks and value drivers.
• Support clients through transaction execution and post-completion matters, including completion accounts, claims, and dispute resolution.
• Develop and maintain strong relationships with clients, investors, legal advisors, and other stakeholders.
