Job summary

Jobgether, listed through a partner company, seeks a Senior Corporate Counsel based in Colombia to lead global securities law, corporate governance, and complex M&A matters. You will manage international subsidiaries, employee equity programs, and strategic investments while ensuring regulatory compliance in a fast-paced, open-web environment.

Qualifications

• JD from a US-accredited law school and admission to practice in a US state.
• Strong expertise in securities law compliance and corporate governance for private/late-stage companies.
• Experience managing international subsidiaries and complex corporate transactions (financing rounds, M&A, equity transactions).
• Experience overseeing employee equity programs and stock plans; familiarity with complex transactions is a plus.

Responsibilities

• Lead global securities law compliance and provide strategic guidance on governance matters for a late-stage private company.
• Manage the international subsidiary structure, board meetings, corporate records, intercompany agreements, and local compliance.
• Support board governance with agendas, materials, and meeting records; maintain corporate decision documentation.
• Oversee employee equity programs, structure, and stock sale transactions.
• Lead legal execution of fundraising, M&A, financing, and other strategic transactions with risk management and compliance.
• Oversee transaction execution for venture investments and related activities.
• Develop scalable legal/business processes to support international operations.
• Advise cross-functional teams on software integrations, IP, licensing and open-source licensing.
• Translate complex legal matters into practical recommendations aligned with business goals.
