Qualifications

  • Law Clerk Diploma/Certificate.
  • 2 to 5 years of related experience.
  • Understanding of corporate statutes (Ontario/Canada) and related policies.
  • Excellent team, client and communication skills.
  • Strong organizational skills and ability to multi-task.
  • Ability to take initiative and work independently.
  • Bilingualism and knowledge of EnAct are assets.

Responsibilities

  • Maintain and update corporate minutes books.
  • Conduct minute book reviews and provide summaries.
  • Maintain and update lists of active and inactive companies.
  • Assist with corporate due diligence and extra-provincial, business name, partnership and other registrations.
  • Perform corporate and PPSA searches and filings.

We are looking to add to the existing strength of our team by bringing in a Corporate Law Clerk with experience in financings and acquisitions and other general corporate matters, including incorporations, amendments, continuances, amalgamations, dissolutions and other reorganizations.

  • maintaining and updating corporate minutes books
  • conducting minute book reviews and providing summaries relating to same
  • maintaining and updating lists of active and inactive companies
  • assisting with conducting corporate due diligence and extra-provincial, business name, partnership and other registrations
  • performing corporate and PPSA searches and filings
  • Law Clerk Diploma/Certificate
  • 2 to 5 years of related experience (applicants with more extensive experience are welcome and will be considered according to their experience level)
  • Understanding of, and familiarity with, corporate statutes (Business Corporations Act (Ontario), Canada Business Corporations Act, not-for-profit, non-share capital corporate statutes (Federal and Ontario)) and other applicable policies and procedures
  • Excellent team, client and communication skills
  • Solid writing skills (including attention to detail) when drafting documents, reports and correspondence
  • Strong organizational skills and an ability to effectively multi-task, manage conflicting timelines and work under pressure
  • Ability to take initiative and work independently when appropriate
  • While not required, bilingualism and knowledge of EnAct would be considered assets

The salary for this position will be determined having regard to the level of experience and skillset of the successful candidate as well as the local market; however, we anticipate the relevant range to be $70,000 to $110,000.
