Job summary

Marberg Staffing is looking for a Corporate Law Clerk for a mid-size law firm in Toronto. The ideal candidate will possess a Law Clerk Diploma and at least 4+ years of experience in a corporate law setting. The position offers a hybrid work model, with 2 days remote and 3 days onsite.

Job description

Overview

Corporate Law Clerk for a mid-size law firm client in Toronto.

Job Type: Permanent Full-Time.

Existing Vacancy: Yes.

Compensation: From $60,000 to $75,000 per annum, according to experience + comprehensive benefits

Regular Work Hours: 7.0 hours per day not including 1 hour lunch break, to be worked during regular business hours, Monday to Friday (35 work hours per week).

Work Location: Hybrid - combination of 2 days remote-based and 3 days onsite at client\'s Toronto office. Onsite work expectations subject always to client business requirements, and may change according to client business need.

Responsibilities
  • Assist with due diligence for commercial transactions, financings, mergers and acquisitions, and corporate reorganizations. Support corporate transactions, including asset and share purchases, mergers, acquisitions, rollovers, and internal reorganizations.
  • Prepare, review, and file corporate documentation, including incorporations, amalgamations, dissolutions, reorganizations, restructurings, and transactional matters.
  • Prepare first drafts of short-form and long-form amalgamations, including Section 51, 85, and 86 reorganizations and related documentation.
  • Draft authorized share capital, incorporations, dissolutions, organizational documents, and by-laws.
  • Handle share redemptions, repurchases, transfers, dividend resolutions, and estate freezes.
  • Manage corporate transactions including continuances (in and out of province), revivals, reinstatements, amendments, restructurings, and corporate reorganizations.
  • Prepare extra-provincial registrations, amalgamations, partnerships, limited partnerships, and trade names.
  • Draft resolutions, directors’ and shareholders’ documents, and register securities. Maintain minute books and corporate records (physical and electronic).
  • Conduct corporate searches and filings (e.g., Ontario and federal registries).
  • Prepare and review closing documentation, closing books, ancillary agreements, and transactional filings.
  • Track key corporate deadlines and ensure regulatory compliance.
  • Record and update director and officer changes.
  • Assist with voluntary disclosures, notices of objection, appeals, and supporting submissions.
  • Maintain and diarize correspondence with the CRA and clients.
  • Support lawyers with transactional closings, document execution, and post-closing matters.
  • Additional corporate law clerk responsibilities as required.
Qualifications

Education: Law Clerk Diploma or equivalent combination of education and work experience.

Preferred Work Experience: At least 4+ years of experience supporting a corporate practice.

Preferred Sector Experience: Law Firm experience required.

Technical and Language Skills Requirements:

  • Advanced proficiency with Microsoft Office - Word, Excel, PowerPoint and Outlook (may be tested).
  • Fast and accurate typing skills and attention to detail (will be tested).
  • Proficiency in Adobe Acrobat (may be tested).
  • Sound knowledge of corporate legal terminology (may be tested).
  • Competence in using document management software.
  • Proficient English communication skills, both written and verbal, including strong business writing skills and excellent spelling, grammar, proofreading and syntax.

  • Sound understanding of Canadian contracts law and related legal terminology, procedures and protocols.
  • Punctual, responsible, and reliable. Demonstrated record of professional conduct and character.
  • Focused and able to work effectively with minimal direction and supervision, to prioritize tasks effectively, and to manage volume targets and due dates.
  • Pleasant and courteous. Demonstrated commitment to client service and professional representation of the organization.
  • Proven ability to professionally handle confidential information and exercise good judgement in the interpretation and application of instructions and organization policy.
  • Superior attention to detail, and organized, methodical approach to completion of tasks.
  • Demonstrated ability to work well both independently and collaboratively, and in an advisory capacity, and liaise effectively with a wide and diverse range of internal and external stakeholders.
Additional Requirements
  • Must be legally entitled to work in Canada, providing satisfactory documentation upon request.
  • Ability to work both remotely and onsite, abiding by organization health and safety policies.
  • Ability to promptly provide minimum of 2 recent, qualified employment references at point of client interview who are available to speak with either Marberg or Marberg\'s client.
  • Ability to declare personal Non-Conflict of Interest in execution of position responsibilities.
  • Satisfactory Background Checks, Technical Skills Evaluations, Interpersonal Skills Assessment, and Employment References as required.
