Job summary

Randstad Canada is seeking a Corporate Law Clerk in Toronto to advance your career in a dynamic legal practice. You will independently manage corporate minute books, draft resolutions, and support transactions under OBCA and CBCA.

The role requires 3–10 years of progressive experience, strong organizational skills, and proficiency with legal databases and MS Office. Fluency in English (French a plus) is valued in a diverse, professional environment.

Qualifications

  • Post-secondary diploma or degree in a relevant legal program.
  • 3 to 10 years of progressive experience as a Corporate Law Clerk.
  • In-depth knowledge of OBCA and CBCA corporate statutes.
  • Experience managing minute books, due diligence, and closing agendas.
  • Advanced proficiency in corporate procedures (OBCA/CBCA).
  • Strong organizational and file management skills to prioritize deadlines.
  • Technical proficiency in legal databases, corporate record software, and MS Office.
  • Bilingual English and French is a strong asset.

Responsibilities

  • Draft, review, and file corporate documents such as articles of incorporation, amendments, and dissolutions.
  • Maintain physical and electronic corporate minute books and entity records.
  • Prepare annual returns, resolutions, and structural reorganization documents.
  • Conduct extra-provincial registrations and filings across Canadian jurisdictions.
  • Perform detailed corporate due diligence for mergers, acquisitions, and restructurings.
  • Assist counsel with share and asset purchase transactions and financings.
  • Prepare closing agendas and assist with transaction closings and post-closing matters.
  • Liaise with internal stakeholders, external clients, and government registries.
  • Monitor compliance with statutory requirements and deadlines.
