Role Summary
The Corporate Development Specialist supports the identification, evaluation, execution, and integration of mergers, acquisitions, divestitures, and other strategic growth initiatives. This role partners with business leaders, external advisors, and cross-functional teams to assess inorganic growth opportunities through market analysis, financial modeling, due diligence, transaction execution, and post-merger integration planning.
Key Responsibilities
- Build and maintain relationships with internal stakeholders and external advisors, including investment bankers, brokers, legal counsel, and accounting firms involved in transaction activities.
- Partner with business unit leadership to understand strategic priorities and identify inorganic growth opportunities aligned with business objectives.
- Conduct industry, market, competitor, and target-company research to identify potential acquisition candidates.
- Develop and maintain financial models to evaluate merger, acquisition, and divestiture opportunities, including valuation analyses and business case assessments.
- Support transaction structuring activities and participate in negotiations with potential counterparties.
- Coordinate and manage cross-functional due diligence processes involving finance, legal, tax, HR, operations, and commercial teams.
- Assess strategic fit, cultural alignment, financial impact, transaction risks, and mitigation strategies for potential deals.
- Prepare business cases and investment recommendations with clearly defined objectives, assumptions, risks, and expected outcomes.
- Develop presentations and supporting materials for executive leadership and governance approval processes.
- Support post-merger integration (PMI) planning by identifying critical integration activities, milestones, dependencies, and success metrics.
- Develop tools, templates, and processes to improve the execution and integration of mergers, acquisitions, partnerships, and divestitures.
Required Skills/Qualifications
- 1-3 years of experience in at least one of the following areas:
- Corporate Development
- Investment Banking
- Management Consulting
- Corporate Strategy
- Equity Research
- Experience performing financial analysis, including interpretation of:
- Profit & Loss (P&L) statements
- Balance Sheets
- Cash Flow Statements
- Experience creating financial models, valuation analyses, and business cases.
- Experience conducting industry, market, competitor, and company research.
- Advanced Microsoft Excel skills, including financial modeling and data analysis.
- Advanced Microsoft PowerPoint skills for executive-level presentations.
- Experience working with cross-functional stakeholders in a project-based environment.
- Business proficiency in English, both written and verbal.
Preferred Skills/Qualifications
- Experience supporting mergers and acquisitions transactions.
- Experience participating in due diligence activities.
- Experience with post-merger integration planning and execution.
- Knowledge of valuation methodologies, including DCF, comparable company analysis, and precedent transactions.
- Bachelor's degree in Finance, Accounting, Economics, Business Administration, or a related field.
- Experience working in a multinational or global organization.
