About the Role

Our client is actively seeking a highly skilled Commercial Transactions Lawyer to join their legal department on a fully remote basis. This role is critical for supporting the company's extensive commercial activities, focusing on the negotiation, structuring, and execution of complex business transactions. The successful candidate will be responsible for drafting and reviewing a variety of agreements, providing strategic legal advice to business teams, and ensuring compliance with all relevant regulations. Key Responsibilities

Lead the negotiation, drafting, and finalization of a wide array of commercial agreements, including mergers, acquisitions, joint ventures, strategic partnerships, and supply chain contracts. Provide strategic legal counsel to internal stakeholders on all aspects of commercial transactions, identifying and mitigating potential risks. Ensure all transactional documents comply with applicable laws, regulations, and internal policies. Conduct thorough legal due diligence for potential transactions. Collaborate closely with finance, operations, and business development teams to achieve transaction objectives. Manage multiple transactions concurrently, ensuring timely and efficient completion. Advise on corporate restructuring and governance related to transactions. Stay informed about market trends and legal developments impacting commercial transactions. Maintain comprehensive records of all transactional documentation.

Requirements

Admitted Attorney of the High Court of South Africa with a minimum of 7 years of post-qualification experience, with a strong emphasis on corporate and commercial transactions. Proven track record of successfully managing and closing complex commercial deals. In-depth knowledge of South African corporate law, contract law, and relevant transactional regulations. Excellent negotiation, drafting, and analytical skills. Strong business acumen and the ability to understand and advise on commercial strategies. Exceptional organizational and time management skills, essential for effective remote work. Proficiency in legal research tools and virtual collaboration platforms. Must have a reliable internet connection and a dedicated home office setup. Ability to work independently and proactively drive transactions forward.
