Placements24 is seeking an experienced Legal Counsel specializing in M&A and corporate transactions to join their team on a fully remote basis. You will lead due diligence, draft and negotiate transaction agreements, advise on corporate structuring and regulatory approvals, and support restructurings across Gauteng and beyond.

The ideal candidate is admitted attorney with 8+ years in M&A and corporate law, with strong knowledge of corporate finance and securities law, and excellent negotiation

Qualifications

• Admitted Attorney of the High Court with a minimum of 8 years of experience in M&A and corporate law.
• Demonstrable success in managing and closing complex M&A transactions.
• Strong knowledge of corporate finance, securities law, and deal structuring.
• Excellent negotiation, drafting, and analytical skills.
• Ability to work effectively under pressure and manage multiple high-stakes projects remotely.

Responsibilities

• Lead and manage M&A transactions, from due diligence and negotiation to closing.
• Draft, review, and negotiate transaction agreements, shareholder agreements, and related documentation.
• Advise on corporate structuring, financing, and regulatory approvals for transactions.
• Conduct thorough legal due diligence on target companies and assets.
• Liaise with internal stakeholders, external counsel, and regulatory bodies throughout transaction processes.

You will play a critical role in advising on and executing complex M&A deals, joint ventures, and other strategic corporate transactions. This position requires a seasoned legal professional with a proven track record in deal execution and a deep understanding of corporate finance and securities law, supporting activities across Gauteng and beyond. The role offers the flexibility to work from anywhere in South Africa, contributing directly to the company's strategic growth initiatives.
