About the Role

Our client seeks a results-oriented Corporate Counsel with a strong focus on Mergers & Acquisitions to join their legal department in Bloemfontein. This position requires a seasoned professional capable of managing all legal aspects of M&A transactions, from initial assessment and due diligence through to closing and post-merger integration. You will work collaboratively with business leaders and finance teams to ensure the successful execution of strategic acquisitions and divestitures. This role offers a challenging yet rewarding experience within a growing organization in the Free State province.

Key Responsibilities

• Lead and manage legal aspects of M&A transactions, including due diligence, drafting, and negotiation of acquisition agreements.
• Coordinate with internal and external counsel, consultants, and regulatory bodies.
• Advise on deal structuring, risk assessment, and regulatory compliance related to M&A.
• Manage post-closing integration matters from a legal perspective.
• Assist with general corporate legal matters, including governance and commercial contracts.
• Develop and implement best practices for M&A legal processes.

Requirements

• Admitted Attorney of the High Court of South Africa.
• Minimum of 6 years of relevant experience in M&A legal work, preferably within a corporate legal department or reputable law firm.
• Demonstrated experience managing complex M&A transactions from start to finish.
• Strong understanding of corporate law, securities regulations, and transaction structuring.
• Excellent negotiation, communication, and project management skills.
