Placements24 represents a leading organisation in the North West province seeking a seasoned In-House Counsel with strong M&A and corporate finance expertise to join its corporate legal department in Klerksdorp.

You will lead due diligence, draft and negotiate SPAs and shareholders' agreements, and advise on financing, governance, and regulatory approvals while coordinating with external counsel and investment bankers to close complex transactions.

Qualifications

• Admitted Attorney with a minimum of 8 years of experience, with a strong emphasis on M&A and corporate finance.

Responsibilities

• Lead the legal due diligence process for potential acquisitions, divestitures, and joint ventures.
• Draft, negotiate, and finalize M&A transaction agreements, including sale and purchase agreements and shareholders' agreements.
• Advise on corporate structuring, financing, and regulatory approvals related to M&A activities.
• Manage relationships with external legal counsel, investment bankers, and other advisors involved in transactions.
• Ensure compliance with securities laws, corporate governance standards, and other relevant regulations.

About the Role

Our client is seeking a seasoned In-House Counsel with significant experience in Mergers & Acquisitions (M&A) to join their corporate legal department in Klerksdorp. This strategic role will involve managing all legal aspects of the company's M&A activities, from target identification and due diligence through to transaction closing and post-merger integration. You will work closely with the executive team and external counsel to structure, negotiate, and execute complex deals. The ideal candidate will possess deep expertise in corporate finance law and a proven ability to navigate intricate transactions within the dynamic business environment of the North West province.

Key Responsibilities
