Saint Cyr Partners, an AmLaw 50 firm, seeks an Associate Attorney for its Technology Transactions Practice Group in San Francisco, CA. You will handle high-impact IP and commercial technology transactions for global technology clients, leveraging a strong IP background and a top-tier JD.

Ideal candidates have IP and tech deal experience, training in licensing, development, services, distribution, and partnerships, and an ability to manage multiple deals in a fast-paced environment.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transactions experience in a law firm setting.
• Experience structuring, drafting, and negotiating complex IP and technology-related agreements.

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, development, services, supply and distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
• Work directly with clients to understand their business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
