Job summary

Your Talent Team is representing an AmLaw 50 firm seeking a Technology Transactions Associate Attorney in San Francisco. This role focuses on high‑stakes IP and commercial technology transactions for global clients, requiring strong drafting, negotiating, and IP diligence.

Ideal candidates have 3–6 years of IP and transactional experience, CA Bar, JD from a top school, and a technical background. The firm offers a collaborative environment, development opportunities, and a strong compensation

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transactions in a law firm.
• Experience structuring, drafting, and negotiating IP and technology-related agreements, including licensing, development, services, distribution, and partnerships.
• Experience with IP aspects of mergers and acquisitions and equity financing transactions.
• Interest in, or experience with, artificial intelligence is advantageous.
• Technical background strongly preferred; science degree or experience working with technology.

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, development, services, supply & distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
• Work directly with clients to understand their business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
